1. DEFINITIONS
"Font Software" means Tembrava Display in any format (OTF, TTF, WOFF2 or other), including its outlines, glyphs, OpenType data, source files, documentation and any update supplied by the Licensor.
"Licensee" means the person or legal entity that has paid for, or otherwise received in writing from the Licensor, a licence for the Font Software, as named on the invoice or licence certificate ("Licence Certificate").
"Licence Type" and "Licence Scope" mean the type(s) and limits stated on the Licence Certificate. If no limit is stated, the minimum limits in Section 3 apply.
"Reserved Marks" means the glyphs wordmusic.logo (U+E000 and the "word&music" discretionary ligature) and wm.logo (U+E001 and the "w&m" discretionary ligature), which reproduce the word&music trademarks.
2. GRANT OF LICENCE
Subject to payment and to this EULA, the Licensor grants the Licensee a non-exclusive, non-transferable, worldwide, perpetual licence to use the Font Software within the Licence Type(s) and Licence Scope purchased. All rights not expressly granted are reserved. The Font Software is licensed, not sold.
3. LICENCE TYPES
3.1 Desktop. Install the Font Software on the number of computers (default: up to 5) stated on the Licence Certificate, owned or controlled by the Licensee, and use it to create static output: printed matter, PDF, images, video, packaging, signage, merchandise, logos and other artwork, for the Licensee's own projects or for clients. Static output may be used and distributed commercially without further fees.
3.2 Web. Self-host the WOFF2 format and embed it in websites via CSS @font-face on the domains stated on the Licence Certificate, up to the stated monthly page views (default: 50,000 page views per month). The font files must be served only to those domains (e.g. with CORS or referrer restrictions) and must not be made available for direct download.
3.3 App and Digital Publication. Embed the Font Software, in a form that is not accessible to end users as a separate font file, in the number of applications, games or electronic publications (EPUB, interactive PDF, e-magazines) stated on the Licence Certificate (default: 1 title).
3.4 Broadcast and Advertising. Use in films, television, streaming, online video advertising and paid social campaigns is permitted under the Desktop licence. Embedding the Font Software in broadcast graphics systems requires the App licence.
3.5 Extended Scope. Larger numbers of computers, domains, page views or titles, server-side or on-demand generation of customised products (for example print-on-demand templates or personalisation tools that let third parties set text in the Font Software), and use in any AI/machine-learning training data set require a separate written licence.
4. DOCUMENT EMBEDDING
The Font Software is marked "Editable embedding" (OS/2 fsType 8). The Licensee may embed the Font Software, in full or as a subset, in electronic documents (such as PDF or Office files) distributed to others. Recipients may use the embedded font only to view, print and edit those documents and may not install it or extract it for independent use.
5. RESTRICTIONS
The Licensee shall not: (a) distribute, share, sublicense, sell, rent, lend or upload the Font Software or make it publicly available, except as embedded under Sections 3.2, 3.3 and 4; (b) modify, adapt, translate, convert, decompile or reverse engineer the Font Software or create derivative fonts, except for subsetting and format conversion strictly required for a permitted use, and except where such restriction is prohibited by applicable law; (c) remove or alter copyright, trademark or licence information in the Font Software; (d) use the Reserved Marks, or any output reproducing them, to identify any goods, services or organisation other than word&music, except with the Licensor's written permission; (e) use the name "Tembrava" for any other font or product.
The Licensee may convert artwork set in the Font Software to outlines, and may use such outlines, including in the Licensee's own logos and trademarks, other than the Reserved Marks.
6. AGENCIES AND CLIENTS
A Licensee working for a client may install the Font Software for that client's project within the Licensee's own licence. The client needs its own licence to edit or produce further material with the Font Software. The Licensee may transfer a Desktop licence once to a client upon completion of a project, with written notice to the Licensor, after which the Licensee must delete its copies.
7. UPDATES AND SUPPORT
The Licensor may supply updates, corrections and new versions of the Font Software. Updates are covered by this EULA unless they come with a new one. The Licensor will make reasonable efforts to correct reported technical defects but is not obliged to provide support.
8. OWNERSHIP
The Font Software, its design and all intellectual property rights in it remain the property of the Licensor. "Tembrava", "word&music" and the wm mark are trademarks of their respective owners.
9. WARRANTY AND LIABILITY
The Licensor warrants for 90 days from purchase that the Font Software will perform substantially as described in its documentation. The Licensee's sole remedy for breach of this warranty is replacement of the Font Software or a refund of the licence fee. Otherwise, the Font Software is provided "AS IS". To the maximum extent permitted by law, the Licensor is not liable for any indirect, incidental or consequential damages, and its total liability shall not exceed the licence fee paid.
10. TERMINATION
This EULA terminates automatically if the Licensee breaches it. On termination the Licensee must stop using and delete all copies of the Font Software. Static output lawfully created before termination may continue to be used.
11. GOVERNING LAW
This EULA is governed by the laws of Ukraine. Disputes shall be resolved by the competent courts of Kyiv, Ukraine, unless mandatory consumer protection law of the Licensee's country provides otherwise.
12. ENTIRE AGREEMENT
This EULA, together with the Licence Certificate, is the entire agreement regarding the Font Software. A written licence signed by the Licensor prevails over this EULA where they conflict. If any provision is held unenforceable, the remaining provisions remain in force.
Use of the Font Software without a valid licence is not permitted. Rights of the Licensor and of word&music in their own projects are not limited by this EULA.
